DISTANCE CONTRACT
Kilidi.lv Terms of Use and Terms of Sale
1. General Provisions
1.1. The online store kilidi.lv (hereinafter – the “Online Store”) is operated and managed by SIA DDT, registration No. 40003333449, registered office: Stabu iela 108–4, Riga, LV-1009, Latvia.
1.2. The store and goods collection address is: Krišjāņa Barona iela 62, Riga, LV-1011, Latvia.

1.4. These Terms determine the procedure for purchasing goods in the Online Store and establish the rights and obligations of the Buyer and the Seller.
1.5. The Buyer is a natural or legal person placing an order in the Online Store.
1.6. For the purposes of these Terms, a Consumer is a natural person purchasing goods for purposes unrelated to their economic or professional activity.
1.7. The prices of goods displayed in the Online Store are in euros and include applicable value added tax. Delivery costs are not included in the price of the goods unless otherwise stated in the description of the relevant product or offer.
1.8. Information about the goods, including their name, main characteristics, price and availability, is provided on the relevant product page.
1.9. Product images displayed in the Online Store are for illustrative purposes. Minor visual differences that do not affect the essential characteristics of the goods may occur.
2. Placing an Order and Conclusion of the Distance Contract
2.1. A distance contract is a contract between the Seller and the Buyer concluded without the simultaneous physical presence of the Seller and the Buyer, using the Online Store and electronic means of communication.
2.2. To place an order, the Buyer:
- selects the goods;
- adds the goods to the shopping cart;
- provides the required information;
- selects the delivery or collection method;
- selects the payment method;
- checks the order information;
- confirms the order.
2.3. Before confirming the order, the Buyer has the opportunity to check the ordered goods, quantity, price, delivery costs and total amount payable.
2.4. Before placing an order, the Buyer must confirm that they have read:
- the Distance Contract (Terms of Use and Terms of Sale);
- the Privacy Policy.
2.5. Submission of an order constitutes the Buyer's offer to conclude a distance contract for the goods specified in the order.
2.6. The Seller sends an electronic order acknowledgement to the e-mail address provided by the Buyer.
2.7. The distance contract shall be deemed concluded when the Seller has confirmed the Buyer's order and the order confirmation has been sent to the Buyer.
2.8. If the Seller is objectively unable to fulfil the order, the Seller shall inform the Buyer and, if the Buyer has already made a payment, refund the payment received.
2.9. The order confirmation and information related to the purchase are sent to the Buyer's e-mail address and may be stored on a durable medium.
3. Payment Terms
3.1. The Buyer may pay for the order using the payment methods offered in the Online Store.
3.2. The following payment methods are available in the Online Store:
- payment card;
- online banking;
- bank transfer.
3.3. When paying by payment card or online banking, the Buyer makes the payment during the order process using the payment solution available in the Online Store.
3.4. When paying by bank transfer, processing of the order begins after the payment has been received in the Seller's bank account.
3.5. When paying by bank transfer, the Seller sends the Buyer the information required to make the payment.
3.6. If the order is not paid within the specified period, the Seller has the right to cancel the order.
4. Delivery and Collection of Goods
4.1. During the order process, the Buyer selects one of the delivery or collection methods available in the Online Store.
4.2. Collection of goods from the Seller's store at Krišjāņa Barona iela 62, Riga, is free of charge. This is a self-collection option and is not a delivery method to an address or parcel locker selected by the Buyer.
4.3. Delivery costs within Latvia:
- Venipak parcel locker – €2.50;
- DPD Pickup point – €3.00;
- Omniva parcel locker – €5.00;
- courier delivery – €7.50.
4.4. Delivery costs are displayed to the Buyer during the order process before the order is confirmed.
4.5. The delivery period depends on the selected delivery method and the availability of the relevant goods.
4.6. If a specific product has a special delivery period, this is stated in the product description or the Buyer is informed of it before the order is fulfilled.
4.7. If the goods are in stock, the Seller hands them over to the selected delivery service provider after receipt of payment for the order or fulfilment of another applicable payment condition.
4.8. Upon receipt of the goods, the Buyer is advised to check the external condition of the packaging. If the packaging is damaged, the Buyer is advised to immediately notify the delivery service provider and the Seller.
5. Right of Withdrawal
5.1. A Consumer has the right to withdraw from the distance contract within 14 days without giving any reason.
5.2. In the case of a contract for the purchase of goods, the withdrawal period begins on the day on which the Consumer or a third party designated by the Consumer, other than the carrier, has received the goods.
5.3. If an order consists of several goods delivered separately, the withdrawal period begins on the day on which the last goods are received.
5.4. To exercise the right of withdrawal, the Buyer must send the Seller a clear statement informing the Seller of their decision to withdraw from the contract.

5.6. The Buyer may also use the withdrawal form provided by the Seller.
5.7. The withdrawal notice must be sent within 14 days from the beginning of the withdrawal period. The deadline is met if the notice is sent before the expiry of the 14-day period.
5.8. After notifying the Seller of the withdrawal, the Buyer must send or deliver the goods back to the Seller without undue delay and no later than 14 days from the date on which the withdrawal notice was sent.

5.10. The Buyer shall bear the direct costs of returning the goods, provided that the Seller has informed the Buyer of this obligation before conclusion of the distance contract.
5.11. The Buyer is liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.
Exceptions to the Right of Withdrawal
5.12. The right of withdrawal does not apply in cases provided for by applicable law, including:
- goods manufactured according to the Consumer's specifications or clearly personalised;
- goods that are liable to deteriorate or expire rapidly;
- goods which, after delivery, become inseparably mixed with other goods due to their nature;
- sealed goods which are not suitable for return for reasons of health protection or hygiene after the seal has been removed;
- other cases specified by applicable law.
6. Refund Terms
6.1. If the Consumer lawfully exercises the right of withdrawal, the Seller shall refund all payments received from the Consumer, including the delivery costs paid by the Consumer, subject to Section 6.2 of these Terms.
6.2. If the Buyer has selected the Seller's standard delivery method, the Seller shall refund the delivery costs paid for that method. If the Buyer has selected a delivery method that is more expensive than the Seller's least expensive standard delivery method, the Seller is not required to refund the additional costs resulting from the Buyer's choice of the more expensive delivery method.
6.3. The least expensive standard delivery method offered by Kilidi.lv is Venipak parcel locker delivery at €2.50.
6.4. Free collection of goods from the Seller's store at Krišjāņa Barona iela 62, Riga, is a self-collection option. It is not a paid delivery method and therefore no delivery costs are incurred by the Buyer in connection with this option.
6.5. For example, if the Buyer selects courier delivery at €7.50, upon exercising the right of withdrawal the Seller is not required to refund the full €7.50. The Seller shall refund the amount corresponding to the least expensive standard delivery method, namely €2.50.
6.6. The Seller shall make the refund without undue delay and, in any event, no later than 14 days from the date on which the Seller received the Buyer's notice of withdrawal.
6.7. The Seller has the right to withhold the refund until the Seller has received the goods back or until the Buyer has provided evidence that the goods have been sent back, whichever occurs first.
6.8. The refund shall be made using the same means of payment used by the Buyer for the original transaction, unless the Buyer has expressly agreed to another means of payment and such alternative does not incur any additional costs for the Buyer.
6.9. The Buyer shall not be charged any fee for receiving the refund.
7. Order Cancellation
7.1. The Buyer may request cancellation of an order by contacting the Seller:

7.2. If the order has not yet been processed or dispatched, the Seller shall cancel it where reasonably possible.
7.3. If the Buyer is a Consumer and the goods have already been delivered, the Buyer's right to withdraw from the purchase shall be exercised in accordance with the right of withdrawal procedure set out in Section 5 of these Terms.
7.4. The Seller has the right to cancel an order if a material error in the product description, price or availability has been identified and the order cannot objectively be fulfilled.
7.5. If the Seller cancels an order that has already been paid for, the payment received shall be refunded to the Buyer.
7.6. If an order is not paid within 5 days after the invoice has been sent, the Seller has the right to cancel the order unless the parties have agreed on another payment period.
8. Non-Conformity of Goods and Warranty
8.1. The Seller shall provide the Buyer with goods that correspond to the goods specified in the order and comply with the requirements of applicable law.
8.2. If the Buyer receives goods that do not correspond to the order, are damaged or have a defect, the Buyer should contact the Seller at info@kilidi.lv.
8.3. In the event of non-conformity of the goods, the Buyer's rights shall be exercised in accordance with applicable law.
8.4. The right of withdrawal and the Consumer's rights in relation to non-conforming goods are two separate legal remedies. Exercising the right of withdrawal does not limit the Consumer's statutory rights concerning non-conformity of the goods.
9. Dispute Resolution
9.1. The parties shall first attempt to resolve any disputes through mutual negotiations.
9.2. The Buyer may submit a written complaint to the Seller by e-mail at info@kilidi.lv or to the Seller's registered office.
9.3. The Seller shall review the Buyer's complaint and provide a response within the period prescribed by applicable law.
9.4. If a dispute cannot be resolved through negotiations, the Consumer is entitled to use the dispute resolution mechanisms provided by applicable law, including contacting the Consumer Rights Protection Centre (PTAC) or a court.
9.5. Disputes shall be resolved in accordance with the applicable laws and regulations of the Republic of Latvia.
10. Personal Data Protection
10.1. The Buyer's personal data are processed for placing and fulfilling orders, performing the distance contract, delivering goods, processing payments and fulfilling other obligations related to the purchase, in accordance with the Seller's Privacy Policy.
10.2. The Privacy Policy is available separately in the Online Store.
10.3. Acceptance of these Terms does not constitute the Buyer's consent to receive marketing communications.
10.4. If the Buyer wishes to receive commercial communications, a separate consent option shall be provided where such consent is required.
11. Amendments to the Terms
11.1. The Seller has the right to amend these Terms where necessary due to changes in applicable law, changes in the operation of the Online Store or other justified reasons.
11.2. The version of the Terms applicable to a particular purchase shall be the version in force at the time the order was placed.
11.3. After conclusion of a distance contract, the Seller may not unilaterally amend the contractual terms in a manner that worsens the Buyer's legal position, except in cases provided for by applicable law.
